Manager - Corporate Secretary [London]
About the role
Our client, a global fund administrator, is looking for a manager to join the Corporate Services Team.
The Manager - Corporate Secretary is responsible as a member of our client’s Corporate Services Team for the performance of corporate services duties and oversight of the Corporate Secretarial team. This position calls for the highest standards of excellence in communication, work product and personal conduct, prior experience in a similar role, excellent interpersonal skills, and the ability to work well with the firm’s clients and service providers as well as all levels of staff within the group.

Primary responsibilities may include, but are not limited to:
​
Corporate Administration
-
Organize meetings (including but not limited to Board of Director and/or Shareholder meetings), liaise with clients’ shareholders and assist relevant committees and Boards.

Attend and lead (as appropriate) client meetings, and take and record formal minutes, so as to ensure accuracy of minuted discussions.

Prepare corporate services documentation (including but not limited to agendas, minutes/resolutions, reports, memoranda, letters, invoices and other documents, using word processing, spreadsheet, database, and/or presentation software).

Onboard new client business in compliance with the firm’s onboarding policies and procedures.

Maintain and secure all files, statutory books and records.

Perform all regulatory filings in compliance with relevant deadlines.

Ensure adherence by the firm’s Board with proper corporate governance principles.

Respond to routine inquiries addressed to the Corporate Services Team.

Abide by the highest standards of professional conduct in managing confidential information and escalate issues to management, where appropriate.

Contribute to and assist with Global Corporate Services Team projects and initiatives.
Managerial Responsibilities

Assess Team resource allocation.

Assist with recruitment and training of other Team members.

Conduct performance reviews for any direct reports.
Other Responsibilities

Other job functions as required.

The requirements
-
​Completion of the Institute of Chartered Secretaries and Administrators Program or equivalent (i.e. Executive Office Administration Diploma Program).

A university graduate with a degree
-
5+ years in a similar role in the UK, including Board experience.
-
At least 3+ years of experience leading a team.
-
A legal or fund administration background would be an asset.
-
Candidates must hold the legal right to work in the UK.
